Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between Quang Minh Trí (“Company,” “we,” or “us”) and the individual or legal entity (“Client” or “you”) engaging our engineering services, accessing quangminhtri.com, or utilizing digital products operated by the Company.

By executing a Statement of Work (SOW), retaining engineering personnel, submitting a project proposal, or utilizing our software, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Engineering Services & Engagements

We provide two core commercial models of engagement:

• Production Partner (Turnkey Development): End-to-end delivery of mobile applications, enterprise platforms, backend APIs, and applied AI systems governed by detailed Statements of Work, agreed milestones, and technical specifications.
• Outsourcing Partner (Staff Augmentation & Squads): Provision of dedicated senior software engineers, architects, or feature teams who integrate directly into the Client’s existing sprint cycles and technical backlog.

3. Intellectual Property Ownership

Quang Minh Trí retains ownership of pre-existing proprietary developer tooling, internal framework templates, and general engineering methodologies (“Background IP”). To the extent Background IP is incorporated into deliverables, Client receives a perpetual, non-exclusive, royalty-free, worldwide license to utilize and modify such components.

4. Client Responsibilities

To ensure project momentum and predictable delivery schedules, Client agrees to:

• Provide clear, timely feedback, asset materials, and functional specifications during sprint reviews.
• Furnish necessary staging credentials, third-party API keys, and developer account permissions (e.g., Apple Developer, Google Play Console) required for development and testing.
• Designate a qualified Product Owner or Technical Lead with authority to approve milestones and scope modifications.

5. Milestone Acceptance & Quality Verification

Upon delivery of a project milestone, the Client is provided with a standard acceptance period (typically ten (10) business days) to review the build on staging environments. If defects are identified against agreed specifications, Quang Minh Trí will promptly remediate the items without additional cost prior to final sign-off.

6. Confidentiality & Non-Disclosure

Both parties agree to hold all confidential information, business strategies, technical architectures, source repositories, and customer data in strict confidence. Neither party shall disclose proprietary information to third parties without prior written consent, except to authorized employees or sub-processors bound by equivalent confidentiality covenants.

7. Engineering Warranties & Defect Liability

Quang Minh Trí warrants that all deliverables will perform materially in conformance with agreed technical documentation for a period of sixty (60) days following production release (“Warranty Period”). During this window, any reproducible bugs or coding errors will be corrected at our expense.

This warranty excludes defects arising from unauthorized modifications made by third parties, external API breaking changes, or operating system upgrades released subsequent to deployment.

8. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or business opportunities. In all circumstances, total aggregate liability shall not exceed the total fees paid by the Client to Quang Minh Trí under the specific SOW giving rise to the claim in the twelve (12) months preceding the incident.

9. Governing Law & Dispute Resolution

These Terms and any individual SOW shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith executive negotiation. If unresolved within thirty (30) days, the dispute shall be referred to arbitration or competent courts in Ho Chi Minh City, Vietnam.
